- Our corporate governance and regulatory compliance team served as principal consultants to the Securities and Exchange Commission (“SEC’) Committee on Corporate Governance in Nigeria and assisted the Committee in producing a report based on comparative analysis of Corporate Governance practices in other jurisdictions, research and statistical findings. Furthermore, our team has aided in drafting a number of Nigerian’s Codes of Corporate Governance.
- One of the firm’s members (Professor Fabian Ajogwu, SAN) was a member of the Atedo Peterside Committee that released the pioneer Nigerian Code of Corporate Governance for Public Companies in 2003. Professor Ajogwu, SAN was also a member of the technical committee set up by the Financial Reporting Council of Nigeria to review the suspended National Code of Corporate Governance and develop a revised Code. The said Committee produced the Nigerian Code of Corporate Governance, 2018 (the latest code of corporate governance in Nigeria). Professor Ajogwu, SAN is also the author of the following leading text: Corporate Governance in Nigeria: Law and Practice, Corporate Governance and Group Dynamics and Legal and Regulatory Aspects of Commerce.
- Our corporate governance and regulatory compliance team also in conjunction with the Nigerian Society of Corporate Governance authored Nigeria’s leading corporate governance texts titled ‘Company Secretary’s Guide on Corporate Governance’ and “Directors’ Guide on Corporate Governance” (Commercial Law Development Series, 2015). Our team members are also major contributors to the Journal for Corporate Governance.
- Members of our corporate governance and regulatory compliance unit also advised the Nigerian Stock Exchange on the regulatory and corporate governance issues relating to its demutualization and the appropriate corporate governance structure to adopt in the process following the Demutualization of the Nigerian Stock Exchange Act passed in 2018.
